These terms explain how Fidelis Agency collaborates with clients, protects intellectual property, and manages payments. Every statement applies to all projects unless superseded by a signed Master Service Agreement.

1. Engagement & acceptance

By approving a proposal, estimate, or invoice you agree to these terms.

  • The scope, timeline, and deliverables are outlined in the latest signed proposal.
  • Changes requested after approval require a written change order that may alter fees or deadlines.
  • Either party may end an engagement with 14 days' written notice if obligations are not met.

2. Responsibilities

Successful projects rely on timely collaboration.

  • Fidelis Agency provides expert strategy, creative, and technical execution.
  • Clients provide assets, reviews, and approvals within the agreed timeline.
  • Delays caused by missing feedback may shift launch dates and incur standby fees.

3. Fees & payment

All fees are quoted in AUD unless stated otherwise.

  • Projects typically require a 50% deposit with the remainder due prior to launch or delivery.
  • Retainers and marketing engagements are invoiced monthly in advance.
  • Late payments (7+ days) may pause work and accrue a 2% monthly service charge.

4. Intellectual property

Ownership is simple and transparent:

  • Clients own final approved deliverables once all invoices are paid.
  • Fidelis Agency retains rights to pre-existing tools, frameworks, or methodologies.
  • We reserve the right to showcase finished work in portfolios and case studies unless confidentiality is requested.

5. Confidentiality & data

Both parties agree to protect sensitive information shared throughout the engagement.

  • Documents are only shared with team members directly involved in the project.
  • Any third-party subcontractor is bound by similar confidentiality and data protection terms.

6. Warranties, limitation & force majeure

We stand behind our work, but some limits are necessary.

  • We warrant that services will be delivered with professional skill and care.
  • Liability for any claim is capped at the total fees paid for the relevant project.
  • Neither party is liable for delays caused by events outside reasonable control (force majeure).
